Corfix End User License Agreement

PLEASE READ THIS END USER LICENSE AGREEMENT (THE “EULA”) CAREFULLY BEFORE DOWNLOADING THE CORFIX MOBILE APPLICATION (THE “APP”).

This EULA is a legal agreement between you (the individual end user) and Corfix Inc. (“Corfix”) regarding your use of Corfix mobile applications, web applications, or hosted software solutions (collectively, the “Services”). Nothing in this EULA creates any agency, partnership, or joint venture between you and Corfix.

1. Application and Acceptance

1.1 Relationship to Terms of Service. This EULA supplements and is subject to the Corfix Terms of Service (TOS), available at https://www.corfix.com/legal/terms/. In the event of any conflict, the TOS controls.

1.2 Relationship of the Parties. You are using the Services under your employer’s subscription. Your rights derive from that subscription, and your employer is responsible for account management, support, and payment obligations. Corfix is not your employer and assumes no employment-related responsibilities. You must follow your employer’s policies regarding use of the Services. App platform providers (e.g. Apple or Google) are not parties to this EULA.

1.3 Acceptance. By installing or using the Services, you agree to this EULA and confirm your use is authorized by your employer.

2. Privacy, GPS, and Photo Capture

2.1 Privacy Policy and Roles. Personal information handling is governed by the Corfix Privacy Policy: https://www.corfix.com/legal/privacy/. Corfix acts as a service provider; your employer is the data controller.

2.2 Information Collected. The Services may collect:

  • Contact and account information;
  • Time, attendance, safety, and job-site data;
  • Optional GPS location data;
  • Optional photos for attendance and safety records;

2.3 Use of Information. Data is used to support workforce management, safety, compliance, scheduling, and payroll.

2.4 GPS and Photo Functionality. GPS and photo features are controlled by your employer. You must follow their policies. Disabling these features may limit functionality.

2.5 Cross-Border Processing. Data is stored in the United States and may be subject to U.S. laws.

2.6 Data Retention and Deletion. Data is retained during the subscription and up to 90 days after termination, then deleted or anonymized unless legally required.

2.7 User Privacy Rights. You may request access or deletion by contacting privacy@corfix.com.

2.8 Cookies. Cookies are used to enable functionality and improve user experience.

3. Proprietary Rights

3.1 Ownership. All Services and materials are owned by Corfix and protected by intellectual property laws.

3.2 Limited License. You are granted a limited, non-transferable right to use the Services for your employer’s business purposes.

3.3 Restrictions. You may not reverse engineer, resell, misuse, or upload harmful or unlawful content.

3.4 Administrative Users. Employer-designated admins may manage accounts and data but must comply with laws and policies.

3.5 Feedback. Corfix may freely use feedback you provide.

3.6 Trademarks. All Corfix trademarks remain the property of Corfix.

4. Access and Support

4.1 Telecommunications. You are responsible for your internet and device access.

Maintenance and Availability. Services may be temporarily unavailable due to maintenance or outages.

4.2 Support. Support is primarily provided through your employer.

4.4 Updates. Updates may be automatically installed to maintain functionality and security.

5. Term and Termination

5.1 Term. This EULA applies while you use the Services under an active employer subscription.

5.2 Termination by Employer. Access ends if your employer’s subscription ends or access is revoked.

5.3 Termination by Corfix. Corfix may suspend access for violations, risks, or legal requirements.

5.4 Withdrawal of Consent. You may uninstall the app but must contact your employer to deactivate your account.

5.5 Effect of Termination. All rights end immediately upon termination.

6. Warranties and Limitations of Liability

6.1 Relationship to Employer Agreement. All service obligations are governed by the employer’s agreement with Corfix.

6.2 Limited Warranties. Services are provided “as is” without guarantees of uninterrupted use.

6.3 No Other Warranties. All other warranties are disclaimed to the extent permitted by law.

6.4 Limitation of Liability. Corfix is not liable for indirect damages. Direct liability is limited to CAD $50 or minimum legal requirement.

6.5 Allocation of Risk. These limits reflect the intended risk allocation.

7. User Responsibility and Indemnity

7.1 Responsibility. You are responsible for your conduct and content.

7.2 Indemnity. You may be required to indemnify Corfix for misuse or violations.

7.3 Cooperation. Corfix will coordinate with your employer on claims.

8. Product and Intellectual Property Claims

8.1 Product Claims. Corfix handles claims related to the Services.

8.2 IP Claims. Corfix manages third-party IP claims as required by law.

9. Export Compliance and Third-Party Beneficiaries

9.1 Export Compliance. Use must comply with applicable export laws.

9.2 Third-Party Beneficiaries. App platform providers may enforce this EULA.

10. General

10.1 Governing Law. Ontario, Canada law applies.

10.2 Force Majeure. No liability for events beyond control.

10.3 Language. Agreement is in English.

10.4 Amendments. Continued use means acceptance of updates.

10.5 Entire Agreement. This EULA plus TOS and Privacy Policy form the full agreement.

10.6 Severability. Invalid provisions do not affect the rest.

10.7 Waiver. Failure to enforce is not a waiver.

10.8 Assignment. You may not assign; Corfix may.

10.10 Survival. Key sections survive termination.
